All terms & policiesRIDEAUCTION CANADA — TERMS OF BIDDING AND SALE
These Terms apply only to RideAuction transactions in Canada, conducted in Canadian dollars (CAD). They are written for a business-to-business marketplace in which only verified motor-vehicle and powersports dealerships buy and sell. RideAuction does not offer auctions to consumers.
────────────────────────────────────────
PART A — SCOPE AND DEFINITIONS
────────────────────────────────────────
A1. Who these Terms bind. These Terms govern every bid, Max Bid, Jump The Bid, Buy Now purchase and post-auction offer placed on RideAuction, and every sale that results. By acknowledging these Terms, a Dealer accepts them for every action its authorized staff take on RideAuction.
A2. Other RideAuction documents. These Terms work together with the documents RideAuction publishes in its Legal section, including the RideAuction privacy notice, the fee schedule frozen for each Auction, the dispute policy, and the payment, settlement, cancellation and default policies, each in the version in force when the relevant action took place. If a published policy and these Terms conflict on the same point, these Terms govern unless the policy expressly says otherwise.
A3. Definitions. In these Terms:
- "RideAuction" means the RideAuction Canada online dealer auction service and the Ride entity that operates it.
- "Dealer" means a business that RideAuction has verified and approved to use RideAuction for buying, selling or both.
- "Authorized Staff" means a person whom a Dealer has enrolled on RideAuction and who holds an active RideAuction role for that Dealer.
- "Seller" means the Dealer that offers a Unit on RideAuction.
- "Bidder" means a Dealer, acting through its Authorized Staff, that places a bid, Max Bid or Jump The Bid on a Lot.
- "Buyer" means the Dealer that becomes bound to purchase a Unit under Part J.
- "Unit" means the vehicle, powersports product, trailer, boat or other equipment described in a Lot.
- "Lot" means a Unit as offered in an Auction, together with the fixed record RideAuction captured when it approved the Lot (the "Lot Record"): its description, identifier, photos, the Seller's disclosures and any inspection information.
- "Auction" means a scheduled RideAuction sale event made up of one or more Lots, with its own rules frozen when it is scheduled.
- "Buy Now" means a fixed-price offer of a Lot that a Buyer can accept immediately.
- "Max Bid" means the highest amount a Bidder authorizes RideAuction to bid for it on a Lot, which RideAuction uses only as described in Part C.
- "Jump The Bid" means a Max Bid that the Bidder elects to place immediately as the current bid.
- "Accepted Post-Auction Offer" means an offer for a Lot that did not sell in its Auction, which the Seller accepted (or a Seller's counter-offer that the Bidder accepted) within the offer window shown on the Lot.
- "Purchase Price" means the winning bid, the Buy Now price or the amount of the Accepted Post-Auction Offer, as applicable.
- "Fees" means the buyer fee and any other fee actually included in the fee schedule frozen for the Auction. The Admin Rules & Fees page read on 2026-10-18 showed no processing fee.
- "Server Record" means RideAuction's own database record of an event, including the time RideAuction's server accepted it.
────────────────────────────────────────
PART B — ELIGIBILITY AND AUTHORITY
────────────────────────────────────────
B1. Verified Dealers only. Only Dealers that RideAuction has verified and approved for buying may bid, use Buy Now or make offers. A Dealer cannot bid on, buy or make an offer on its own Unit. RideAuction shows which Lots a Dealer may bid on.
B2. Authorized Staff. A Dealer acts on RideAuction only through its Authorized Staff, to whom RideAuction has given the relevant authority (for example to bid or to submit Units) for that Dealer. Each person signs in with their own credentials and, where RideAuction requires it, a second verification step. A Dealer must keep its staff list current and remove access promptly when a person leaves or should no longer act for it.
B3. Binding effect. Every bid, Max Bid, Jump The Bid, Buy Now confirmation and offer placed by a Dealer's Authorized Staff binds that Dealer, whether or not the person exceeded an internal instruction of the Dealer.
B4. Account responsibility. A Dealer is responsible for keeping its sign-in credentials confidential and for all activity under its staff accounts. It must tell RideAuction promptly if it suspects unauthorized use.
B5. Buying limits and holds. RideAuction may set buying limits for a Dealer (for example, total open purchases, open purchase amount, amount per Auction or amount per bid) and may place a Dealer's bidding on hold under Part U. A bid, purchase or offer that would exceed a limit, or that is placed while a hold applies, is refused and has no effect. RideAuction may also refuse a bid on a Lot offered by a Dealer that RideAuction has recorded as affiliated with the Bidder.
B6. Required acknowledgements. Before bidding, buying or making an offer, a Dealer's Authorized Staff must acknowledge the current published version of these Terms and of the other documents RideAuction lists as required. A new published version must be acknowledged again before the next bid, purchase or offer.
────────────────────────────────────────
PART C — BIDS
────────────────────────────────────────
C1. Quick Bid (Bid Now). "Quick Bid" (also labelled "Bid Now") places the next minimum bid on a Lot: the current bid plus the bid increment for that price, or the starting bid when there is no bid yet.
C2. Bid increments and starting bids. Each Auction's bid increment ladder and minimum starting bid are shown on the Auction page and become fixed, at the latest, when bidding opens. Each Lot has a starting bid, proposed by the Seller and which RideAuction may adjust when approving the Lot; it is never below the Auction's minimum starting bid and never above the Lot's reserve.
C3. Max Bid. A Bidder may enter a Max Bid. RideAuction then bids for the Bidder by the bid increment, only as much as needed to keep it in the lead, up to its Max Bid. A Bidder's confidential Max Bid limit is not disclosed. Accepted public bid entries may show the dealership company identity under C9, without identifying any private maximum. It appears as a public bid amount only when RideAuction has to bid all of it, for example when another Bidder outbids it. A leading Bidder may raise its Max Bid; a Max Bid cannot be lowered or withdrawn once accepted.
C4. Jump The Bid. A Bidder may Jump The Bid. After the required bidding conditions have been accepted (remembered for unchanged applicable rules and fees), its entire entered amount becomes the current public bid at once, unless another Bidder's earlier Max Bid is equal to or higher than it, in which case that Max Bid answers it under C3 and C5. The leading Bidder cannot Jump The Bid on its own lead. A Jump The Bid cannot be undone.
C5. Equal maximums and priority. If two Max Bids are equal, the one RideAuction's server accepted first keeps the lead. The highest valid bid at close, as recorded in the Server Record, leads.
C6. Bids are binding. Every accepted bid, Max Bid and Jump The Bid is a binding commitment to buy the Unit at the resulting Purchase Price, plus Fees and taxes, if it leads at close and a sale forms under Part J. An accepted bid cannot be withdrawn or reduced, except where RideAuction expressly permits it in writing under Part V.
C7. Acceptance and the server clock. A bid exists only when RideAuction's server accepts it. The Server Record — not a Bidder's device, browser clock, network or display — decides whether and when a bid was accepted, the order of bids and when a Lot closed.
C8. Large bids. For an unusually large bid compared with a Lot's current bid, RideAuction may ask the Bidder to review and confirm the amount before it is placed.
C9. RIDEAUCTION-DEALER-IDENTITY-1 — Mandatory dealership identity disclosure. For every new dealer bid authorized after acceptance of these updated Terms, RideAuction displays the verified bidding dealership's registered company name and a small company logo, business image or company-initials avatar to other authenticated, currently eligible verified wholesale dealers. Disclosure is a mandatory condition of future manual bids, Quick Bid, Max Bid, Jump The Bid and advance-bid commitments; there is no opt-out. Staff must genuinely acknowledge the current published Terms before a new bid or commitment is accepted. Company identity appears consistently in current, earlier, expanded and real-time bid history on lot and auction pages, including the bidding dealer's own You / Highest Bidder entry. RideAuction uses reliable immutable company evidence and the Terms acceptance that existed when the original bid or commitment was authorized. Bids and proxy or advance commitments previously authorized under anonymity retain that treatment; a later acceptance or automatic proxy response does not retrospectively disclose them. Entries without reliable evidence remain anonymous and are never guessed from a later profile, ownership or company change. Public and unauthenticated visitors do not receive company identities. Individual staff identities, contacts, email addresses, private Max Bid limits and confidential account information remain confidential. An accepted public bid amount is visible without identifying it as a private maximum. A materially updated Terms version requires genuine renewed acknowledgement. This clause does not change bidding calculations, increments, proxy priority, reserves, fees, deadlines, existing commitments or security protections.
────────────────────────────────────────
PART D — RESERVE AND NO RESERVE
────────────────────────────────────────
D1. Each Lot is offered either with a Reserve or with No Reserve, as shown on the Lot.
D2. No Reserve. A No Reserve Lot sells to the leading Bidder at close, at its leading bid, whatever the amount.
D3. Reserve. A Reserve Lot sells only if the leading bid at close is at or above the Seller's private reserve amount. RideAuction never discloses the reserve amount. The Lot shows "Reserve Met" once the reserve is met and "Reserve Not Met" otherwise.
D4. Reserve and Max Bid. If the leading Max Bid on a Reserve Lot is at or above the reserve, RideAuction raises the current bid to exactly the reserve amount, and never above that Max Bid, so that the reserve is met.
D5. A Reserve Lot that closes with the reserve not met does not sell at auction. It may then be offered under Part G.
────────────────────────────────────────
PART E — CLOSING AND SOFT CLOSE
────────────────────────────────────────
E1. Each Lot has its own scheduled close. Lots in an Auction close in lot-number order, a fixed interval apart, as shown on the Auction page.
E2. Soft close. If RideAuction's server accepts a bid on a Lot when less than the soft-close window remains on that Lot, that Lot's remaining time is reset to the soft-close reset time. This repeats every time and is unlimited. Only that Lot's close moves; other Lots keep their own close times. For RideAuction Canada Standard Rules, the window and the reset are both two minutes.
E3. Each Auction's actual timing rules are shown on the Auction page and become fixed, at the latest, when bidding opens. If they differ from E2, the frozen rules shown for that Auction govern.
────────────────────────────────────────
PART F — BUY NOW
────────────────────────────────────────
F1. A Lot offered with Buy Now shows a fixed Buy Now price. Buy Now is available from the time bidding opens until the Lot's scheduled close, unless the Lot has already sold or the Auction is paused.
F2. Before confirming, the Buyer sees the Buy Now price, fees included in the applicable frozen rules, the total before any tax determined under approved rules, and a statement that the purchase is binding. The Buyer must tick that statement to confirm.
F3. A Buy Now purchase is binding and final when RideAuction's server accepts it. RideAuction checks, at that moment, that the Lot is still available at the price and version the Buyer reviewed. If two Dealers try to buy the same Lot, only the first purchase the server accepts succeeds; the other is told the Lot has sold and is not charged.
F4. The eligibility rules, limits, holds and acknowledgements in Part B apply to Buy Now.
────────────────────────────────────────
PART G — POST-AUCTION OFFERS
────────────────────────────────────────
G1. When a Lot does not sell in its Auction, the Seller (or RideAuction, with a recorded reason) may open a window for offers, shown on the Lot, of between 24 hours and seven days.
G2. An eligible Dealer may make one live offer at a time on such a Lot. The Seller may accept, decline or counter with a higher amount. The Dealer may accept or decline a counter-offer, and may withdraw its offer while the offer or a counter-offer is waiting for an answer.
G3. Making an offer, and accepting a counter-offer, are binding commitments to buy at that amount plus Fees and taxes if the offer or counter-offer is accepted. When the Seller accepts an offer, or the Dealer accepts a counter-offer, the sale forms under Part J.
G4. Offers are private. Other Dealers never see them, and the Seller sees offering Dealers only under anonymous labels.
────────────────────────────────────────
PART H — SELLER DISCLOSURES AND INSPECTION INFORMATION
────────────────────────────────────────
H1. Three different sources. A Lot Record can contain three different kinds of information. Each is labelled on the Lot:
(a) Seller disclosures. These are the Seller's own statements about the Unit, for example whether it starts, runs and drives; known damage and mechanical issues; modifications and missing parts; meter accuracy; ownership status; whether title or registration documents are required; and the number of keys. The Seller certifies them as accurate to the best of its knowledge.
(b) Dealer-provided inspection information. This is an inspection the Seller, or a third party it engaged, already carried out, with any report the Seller uploaded. It is labelled "Provided by the dealer". RideAuction does not verify it.
(c) RideAuction condition report. This is a report RideAuction publishes when RideAuction itself inspects a Unit. It records what was observed at the time and place of inspection, within the scope stated in the report.
H2. Reliance. Buyers decide on the Lot Record as a whole. A RideAuction condition report is not a guarantee of the Unit's condition or of anything that was not, or could not reasonably be, observed in the stated inspection. Dealer-provided inspection information is the Seller's information, not RideAuction's.
H3. Seller responsibility. The Seller is responsible for the accuracy of its disclosures and of the documents it provides. Material inaccuracies may be raised under the dispute policy in Part T.
H4. No additional warranties. Except as stated in the Seller's disclosures, in the final approved wording of Part I and as required by applicable law, no warranty or condition about a Unit is given by RideAuction or by the Seller.
────────────────────────────────────────
PART I — CONDITION IN WHICH UNITS ARE SOLD
────────────────────────────────────────
I1. A Unit is sold in the condition it is in at the time of sale. That condition is described by the Lot Record, subject to:
- the Seller's disclosures;
- any RideAuction-approved disclosure added to the Lot before the sale;
- applicable law;
- the outcome of any dispute raised under the dispute policy.
I2. Buyers are professional dealers. RideAuction expects them to review the Lot Record, the photos, any inspection information and any documents offered before they bid, buy or make an offer.
────────────────────────────────────────
PART J — WHEN A SALE BECOMES BINDING
────────────────────────────────────────
J1. Auction result. When a Lot closes, the leading Bidder becomes the Buyer if:
- the Lot is No Reserve; or
- the Lot has a Reserve and the leading bid is at or above it.
The Purchase Price is the leading bid. The result is decided by the Server Record.
J2. Buy Now. A sale forms when RideAuction's server accepts the Buy Now confirmation (Part F3).
J3. Accepted Post-Auction Offer. A sale forms when the Seller accepts the offer, or when the offering Dealer accepts the Seller's counter-offer (Part G3).
J4. Effect. When a sale forms, the Buyer is bound to buy and the Seller is bound to sell the Unit at the Purchase Price. RideAuction then records the sale, fixes the Fees that apply under the rules frozen for the Auction, and issues an invoice under Part N.
J5. Electronic signature. A Seller certifying a unit for sale, a Bidder placing a bid, a Buyer completing a Buy Now purchase, and a Seller accepting an offer each act through a signed-in user with authority to bind the dealership. By taking that action on RideAuction, the dealership agrees to do business electronically and adopts the action as its electronic signature on the sale and on the Bill of Sale that records it, with the same effect as a handwritten signature to the extent the law allows. RideAuction keeps the record of each action. A provincial registry may still require its own form or an original signature, and the dealerships complete those directly.
────────────────────────────────────────
PART K — BUYER FEE
────────────────────────────────────────
K1. The Buyer pays RideAuction a buyer fee on each purchase, in addition to the Purchase Price.
K2. The buyer fee schedule is part of each Auction's rules. It is frozen when the Auction is scheduled and shown on the Auction page. The Admin Rules & Fees page read on 2026-10-18 showed the current Standard Rules at 10.5% of the Purchase Price, minimum CAD $250 and maximum CAD $8,500. The exact schedule shown and frozen for the Auction governs; this draft does not change it.
K3. A later change to the fee schedule never changes the fee on an Auction that is already scheduled or a sale that has already formed.
────────────────────────────────────────
PART L — PROCESSING AND RESERVE FEES
────────────────────────────────────────
L1. The Admin Rules & Fees page read on 2026-10-18 shows no processing fee in the current Standard Rules. No processing fee is due under that setting. If an authorized prospective Rules change later adds a fee, it must be disclosed and frozen in the rules for the Auction before commitment.
L2. A Lot's title or registration requirements are handled as unit disclosures and document checks. Those requirements do not create a separate processing charge while the active Standard Rules show no processing fee.
L3. The buyer fee and any other fee actually present in the frozen Auction rules must be displayed before the Buyer commits and appear as separate invoice lines. A later change does not alter an Auction already scheduled or a sale already formed.
L5. The proposed Reserve Fee is seller-side, not buyer-side. The proposed starting schedule is fixed CAD $49 for a Regular Public Auction or 60-Minute Auction offered with a reserve. A No Reserve Auction has no Reserve Fee. The proposal is not active and assessment is OFF. If separately activated, the Seller must see and explicitly acknowledge the applicable fee terms before a new Reserve commitment. At that commitment, fee method and amount, auction format, reserve and calculated Reserve Fee would be frozen. Every previously committed Auction would be grandfathered; a later Admin price change could not reprice it.
L6. Under the proposal, a Reserve Fee would be earned only after an eligible Reserve Auction actually opens, runs and concludes, whether the Unit sells or the reserve is not met. A rejected Auction, one that never launches, or one cancelled before opening would not incur the fee. Scheduling or an attempted launch alone is not enough.
L7. A sold Reserve Auction may show the fee as a separate Seller charge in the existing invoice and ledger workflow. An unsold Reserve Auction may have a fee-only draft linked to the Seller and Auction; it is not a sale and creates no Buyer or winning bid. A draft is not payable. Assessment and invoice issuance remain subject to their separate financial, issuer and tax safeguards. Any interruption or post-opening dispute is held for authorized review under the published exception policy.
L8. The proposed amount is not a permanent fixed schedule. A future fixed or percentage method or amount would apply only after authorized versioned configuration, prospective effective time, seller disclosure and explicit acknowledgement for a new commitment. Applicable tax is stated only when approved under the versioned tax rules.
────────────────────────────────────────
PART M — TAXES
────────────────────────────────────────
M1. Tax is determined only under the issuer's verified, accountant-approved tax configuration and applicable rules for the supply and place of supply. A Dealer profile province alone does not determine tax treatment. Until issuer details and tax rules are verified, payable invoice issuance remains held; these draft Terms do not imply a tax rate, registration, exemption, or tax-included price.
M2. Each tax is shown separately on the invoice. RideAuction applies a tax exemption only where the law provides one and the Dealer has supplied the information RideAuction requires.
M3. A Dealer must keep its legal name, address, province and tax registration details on RideAuction accurate. RideAuction corrects an incorrect invoice only by voiding it and issuing a corrected one, or by issuing a credit note.
────────────────────────────────────────
PART N — INVOICES AND PAYMENT
────────────────────────────────────────
N1. RideAuction issues an invoice to the Buyer for each purchase. The invoice shows:
- the Purchase Price and the fees included in the Auction's frozen schedule;
- each tax;
- the total;
- the due date.
N2. The Buyer must pay the issued invoice in full by its due date.
N3. The permitted payment methods are those RideAuction specifies on the invoice. Payment is not complete until RideAuction records it as received.
N4. A Unit is not released until the payment and release conditions in Parts O and P are satisfied.
N5. Currency. All prices, fees, taxes, invoices and payments on RideAuction are in Canadian dollars (CAD).
────────────────────────────────────────
PART O — TITLE AND OWNERSHIP DOCUMENTS
────────────────────────────────────────
O1. Seller documents. The Seller must provide RideAuction, within the time RideAuction requests, every ownership document needed to transfer the Unit to the Buyer free of undisclosed liens. Depending on the Unit, this may include:
- a title, registration or ownership permit;
- a lien release;
- a bill of sale;
- any transfer form required.
O2. RideAuction review. RideAuction records each document it receives, reviews it against the Unit's identifier, and records any issue it finds. RideAuction's review is an administrative check of the documents provided. It is not a legal opinion on title, and it is not a guarantee that the documents are valid or that no lien exists.
O3. Document issues. If a required document is missing or has an issue, RideAuction works with the Seller to resolve it. The Unit is not released while a required document is missing, under review or has an open issue.
O4. Units without title or registration. Where a Unit does not require title or registration documents, RideAuction records that fact and releases the Unit without them.
────────────────────────────────────────
PART P — RELEASE AND PICKUP
────────────────────────────────────────
P1. Release conditions. RideAuction authorizes release of a Unit only when all of the following are true:
- the Buyer's payment is complete, or RideAuction has authorized a documented exception;
- the required ownership documents are approved or cleared;
- the sale is not on hold;
- the Unit is still held for that sale.
P2. Authorized pickup parties. The Buyer designates who may collect the Unit. That can be its own staff, a transporter it engages, or RideAuction Logistics where the Buyer chooses RideAuction-arranged delivery under Part Q.
P3. Verification. At pickup, the Seller releases the Unit only to the authorized pickup party, after checking the release verification RideAuction provides for that sale. The Seller records the release.
P4. Physical release. The Seller must make the Unit available for pickup at its recorded location once release is authorized. The Unit must be in the condition described in the Lot Record, with its keys and the items disclosed.
────────────────────────────────────────
PART Q — DELIVERY
────────────────────────────────────────
Q1. After a sale, the Buyer chooses one of two options:
(a) RideAuction-arranged delivery. RideAuction arranges transport through its Live Tracker logistics network. The transport is quoted, scheduled and tracked through Live Tracker, and is subject to the Live Tracker terms in force.
(b) Buyer-arranged pickup or transport. The Buyer, or a transporter it engages, collects the Unit from the Seller.
Q2. RideAuction does not offer delivery by the Seller.
────────────────────────────────────────
PART R — RISK OF LOSS AND DELIVERY DAMAGE
────────────────────────────────────────
R1. Before release. The Unit remains in the Seller's possession and care until it is physically released to the authorized pickup party.
R2. At release. Risk of loss passes when the Unit is physically released to the Buyer's authorized pickup party and the release is recorded.
R3. RideAuction-arranged transport. Where the Buyer chooses RideAuction-arranged delivery, damage in transit is handled under the Live Tracker transport terms and the carrier's coverage, as recorded in Live Tracker's pickup and delivery inspections.
────────────────────────────────────────
PART S — FAILURE TO COMPLETE A PURCHASE
────────────────────────────────────────
S1. A Buyer that does not pay the issued invoice by its due date is in default. RideAuction may then do any of the following:
- place the Dealer's bidding on hold;
- reduce its buying limits;
- refuse further bids, purchases and offers;
- contact the Dealer about the unpaid balance.
S2. RideAuction may cancel a sale in default by recording the cancellation with its reason. The sale's ledger and documents are kept, with reversals and credit notes, and never deleted. After cancellation, RideAuction may offer the Unit again.
S3. RideAuction and the Seller may take any lawful step to recover amounts owed under a sale.
────────────────────────────────────────
PART T — DISPUTES
────────────────────────────────────────
T1. Disputes about a sale are handled under RideAuction's separately published dispute policy. This includes disputes about a material difference between a Unit and its Lot Record, about documents, and about release.
T2. Until RideAuction publishes that policy, disputes are raised by contacting RideAuction directly. Online dispute filing is not available until then.
────────────────────────────────────────
PART U — HOLDS AND ACCOUNT RESTRICTIONS
────────────────────────────────────────
U1. RideAuction may place a Dealer's bidding on hold, or restrict or suspend a Dealer's or a staff member's access, for a legitimate reason. Examples include:
- an unpaid purchase or other default;
- a buying limit reached;
- suspected unauthorized account use;
- a conflict of interest, such as bidding on an affiliated Seller's Lot;
- unusual bidding activity under review;
- a breach of these Terms.
U2. Every hold and restriction is recorded with its reason, and RideAuction tells the Dealer what it needs to do. A hold stops new bids, purchases and offers. It does not cancel sales that have already formed.
────────────────────────────────────────
PART V — TECHNICAL ISSUES
────────────────────────────────────────
V1. Connectivity and display. A Bidder's connection, device or browser may show information late. The Server Record governs Lot status, bids, close times and results, and RideAuction is not responsible for a Bidder's late display or for a bid its server did not receive in time.
V2. Pause and correction. If a technical fault, an error in a Lot Record or another genuine irregularity affects an Auction, RideAuction may:
- pause the Auction;
- withdraw an affected Lot;
- correct the affected record.
RideAuction may also, where a bid or result was caused by the fault and cannot fairly stand, cancel that bid or result. RideAuction records each such action with its reason and tells the affected Dealers. RideAuction does not use this power to change a result for any other reason.
V3. Availability. RideAuction aims to keep the service available but does not promise uninterrupted access.
────────────────────────────────────────
PART W — PRIVACY
────────────────────────────────────────
W1. RideAuction collects, uses and discloses personal information of Dealer staff and contacts as described in the RideAuction privacy notice published in its Legal section.
────────────────────────────────────────
PART X — GOVERNING LAW, JURISDICTION AND GENERAL
────────────────────────────────────────
X1. Governing law and jurisdiction.
X2. Out-of-country participants. RideAuction transactions are conducted in Canada and in CAD. Any participant located outside Canada must comply with Canadian requirements that apply to the purchase and removal of a Unit, including export, customs and import rules.
X3. Changes. RideAuction may publish a new version of these Terms. Each version shows its version number and publication date. A new version applies to actions taken after it is published and acknowledged, never to a sale that formed earlier.
X4. Language.
X5. Severability and entire agreement.
END OF DRAFT.
────────────────────────────────────────
PROPOSED DECISIONS AND PUBLICATION HOLDS
────────────────────────────────────────
PROPOSED / DEMO DECISIONS — NOT APPROVED OR IN EFFECT
The following choices complete the drafting exercise only. They are proposals for one consolidated business and qualified-review decision; they do not identify the legal contracting entity, create a fee obligation, amend a live auction, or waive any mandatory right.
1. Document precedence: the published master Terms govern formation of the buyer–seller sale and platform use. A more specific published Fees, Payment & Settlement, Cancellation & Default, Bidding Rules or Dispute Policy controls its subject only where it is consistent with the master Terms. Mandatory law controls over every contract clause. A mismatch pauses the affected action for review; no hidden or unpublished policy controls.
2. Identity and contracting role: proposed transaction model is a sale directly between Seller and Buyer, with RideAuction operating the marketplace and recording/administering the transaction; RideAuction does not own the Unit. The actual contracting/invoice issuer identity and whether any agency relationship arises in particular flows remain unverified and must be settled by counsel/company records before publication.
3. Staff authority: Dealer is responsible for staff it authorizes, access it leaves active, and prompt notice of suspected misuse. RideAuction records server-accepted actions and investigates credible unauthorized-access reports; this proposal does not decide statutory agency or apparent-authority questions.
4. Holds and limits: apply only where the existing control is enforced—bids and Buy Now. Do not state that it blocks post-auction offers unless the product is changed. An offer remains subject to the offer workflow and seller decision.
5. Condition and warranties: Seller remains responsible for its own statements and records. A RideAuction report describes observations within its disclosed scope and is not a mechanical certification. Dealer buyers should inspect and review records. No broad “as-is” language removes an express seller disclosure, a remedy expressly stated in an approved policy, or a non-waivable legal right. Counsel must approve jurisdictional wording.
6. Fees and price display: the live Rules & Fees page read on 2026-10-18 showed buyer fee 10.5% (CAD $250 minimum / $8,500 maximum), no processing fee, seller fee 2.5% capped at CAD $100, and free listing/relisting. Preserve each Auction's frozen rules and show mandatory buyer charges before commitment. The proposed CAD $49 Reserve Fee remains seller-side, inactive until separately activated. No unlisted fee, interest, storage, default or collection charge is authorized by this draft.
7. Reserve Fee: fixed CAD $49 for new Regular Public and 60-Minute Reserve commitments only after actual activation, disclosure and explicit seller acknowledgement. No Reserve is zero. Pre-activation committed auctions are grandfathered. Earned only after an eligible auction opens, runs and reaches a valid concluded state. A rejected, never-launched or pre-opening-cancelled auction earns none. Interrupted, disputed or uncertain completion is held; no assessment until authorized review confirms a valid conclusion. If a completed obligation was erroneous or the result is later voided for a platform/auction-integrity error, propose one audited reversal/credit through existing ledger controls; no automatic payment collection. Assessment remains OFF today.
8. Tax and invoices: compute tax only through the approved, versioned tax engine using verified issuer, supply classification and place-of-supply facts. This draft supplies no tax rate, exemption or registration number. Do not issue a payable Reserve Fee invoice while those approvals are missing; a nonpayable draft is not an invoice or payment.
9. Payment: propose invoice due within 3 business days after issue, no deposit, and only payment instructions actually approved and printed on the invoice. The Admin invoice payment terms page read in the current production session showed no global default due term; invoice-specific authorized dates remain authoritative until a prospective setting is approved. No method is promised here beyond one configured on the invoice.
10. Title and risk: Seller supplies accurate ownership/transfer records and discloses known liens. RideAuction performs an administrative document check, not a title search or legal opinion. Keep release blocked for unresolved document/payment/dispute controls. Proposed custody rule: Seller bears custody risk until documented authorized pickup/release; carrier risk/insurance depends on the verified carrier contract and pickup record. Counsel must approve title passage, risk and insurance allocation.
11. Deadlines and default: propose seller ownership documents within 3 business days after a specific request; buyer collection or carrier readiness within 5 business days after release authorization. These are proposed deadlines, not current configured timers. Send notice and a 2-business-day cure opportunity after an overdue invoice before an authorized manual hold/cancellation decision; no automatic cancellation, interest, storage, resale shortfall or default charge.
12. Disputes and remedy: propose all supported categories, 14 calendar days from delivery confirmation or documented pickup/release, and 5 calendar days for seller response. The window governs the optional in-product process only and does not extinguish legal rights. Admin records an operational marketplace outcome; no binding arbitration or legal adjudication is promised. Preserve evidence and use existing credits/refunds/cancellation controls.
13. Platform corrections: an authorized Admin may pause or correct a Lot for material error, safety, legal demand or integrity risk, with a recorded reason and notice when practicable. Bids are handled under the published auction rules; no silent edits or guaranteed result.
14. Liability and law: propose no liability cap or blanket exclusion in this draft. Preserve non-waivable rights and apply the law/forum selected by counsel after confirming the contracting entity and jurisdictions. Edmonton operations alone do not settle governing law or consumer-law scope.
15. Scope, language and boilerplate: proposed access is limited to verified Canadian dealership accounts; no export or foreign-dealer service is represented. Quebec language/access obligations require counsel before Quebec use. Severability, notices, assignment and entire-agreement effect are subject to counsel review; notices use verified in-product channels and no unverified contact details.
16. Auction type and rules: Regular Public and 60-Minute formats use the rule/fee snapshot shown for that auction; seller-facing Reserve Fee terms are separately frozen at the acknowledged commitment. No term in this draft promises a feature or outcome beyond the implemented interface and server state.
Terms of Bidding and Sale (Canada)
The terms under which Canadian dealers bid, buy and sell on RideAuction: binding bids, Buy Now, offers, fees, payment, title, release and delivery.
How this works
Only a published document applies; a draft is still being finished and is never binding. When RideAuction asks you to acknowledge a document before you bid or sell, you do it under Required documents. Unit questions (Q&A) stay off until RideAuction’s legal counsel approves their terms.
